A New Zealand based Lion’s Share promoter has received a cease and desist notice.
The cease and desist notice was issued to Shelly Cullen by the Commerce Commission on December 21st.

BitWings Review: BWN token securities fraud
Bitwings provides no information on its website about who runs the company.
Bitwings markets itself as a division of Wings Mobile,
a Spanish virtual mobile operator founded in 2007, focused on the development of innovative software, smartphones and laptops.
Bitwings is mentioned on Wings Mobile’s website, however it’s not featured on the company’s homepage. Why Wings Mobile has tucked away Bitwings is unclear.
Of note is Wings Mobile having its own affiliate program, but as far as I can tell it’s not MLM.
Wings Mobile’s website does have a “who we are” section, however no company ownership details are provided.
Update 5th December 2023 – Turns out Wings Mobile is an MLM opportunity. BehindMLM has published a standalone Wings Mobile review. /end update
A few Google searches led me to Antonio Milio (right), who is CEO of both Wings Mobile and Bitwings.
According to his LinkedIn profile, Milio is based out of Spain and has a history in telecommunications dating back to 1998.
Bitwings appears to be Milio’s first venture as an MLM executive.

ClearUnited Review: Cell phone privacy for a monthly fee
ClearUnited is part of Clear, a company that aims to “decentralize your digital life”.
Clear has been aggregating and developing technologies around personal data ownership and security for nearly 20 years.
There are a staggering fourty-five “key partners & leadership” personnel presented on Clear’s website.
“Founder & Vision(ary?)”, Michael Proper, is buried about halfway down the list.
As per Proper’s Clear executive bio;
Over the past 21 years, Michael has helped start and grow numerous companies in the IT industry and helped to create what is now known as the Managed Services Provider (MSP) sector.
Prior to starting ClearCenter he started DirectPointe (an IT service company) & DPFS (an IT financing company) he also helped launch and establish Calculated Research & Technology and Veritas Solutions (both IT solution companies).
As far as I can tell, Proper has no prior MLM executive experience.
Clear is incorporated in New Zealand but appears to be operated out of Utah in the US.

ClubShop Review: Ecom pyramid & potential token Ponzi
ClubShop provides no information on its website about who owns or runs the company.
On its website, ClubShop claims it was ‘formed and incorporated in Englewood, Florida, USA in June of 1997.’
This conflicts with information provided in the footer of ClubShop’s website;

Through the WayBack Machine archive I learned that prior to ClubShop, the company went by Discount Home Shoppers Club.
This dates back to the late 90s. An address in Englewood is provided, however without company ownership information it’s impossible to establish whether ClubShop today is owned by the same individual(s) as the older iterations.
ClubShop’s website domain (“clubshop.com”) was first registered in June 1997. The domain registration was last updated on June 19th, 2020.
Update 25th January 2025 – ClubShop has a second domain “clubshopoutlet.com”, privately registered in June 2018. /end update
Proprofit Worldwide is listed as the owner, through an address in London, UK. This syncs with the UK incorporation details referenced above.
UK incorporation is dirt cheap and effectively unregulated. It is a favored jurisdiction for scammers looking to incorporate dodgy companies.
For the purpose of performing MLM due-diligence, UK incorporation is meaningless.
A search for ClubShop’s CEO returned an ancient 2006 press-release naming Dick Burke.
This led me to Richard Burke (right), who cites himself as ClubShop’s President on LinkedIn.
As per Burke’s LinkedIn profile he’s based out of Englewood, Florda.
While researching ClubShop I came across a page on their website titled “Meet the CEO”:
As above the CEO wasn’t named. He does however feature in other ClubShop blog posts and is named Fabrizio Perotti.
On LinkedIn Perotti (right) cites himself as a Director of Proprofit Worldwide.
That led to Discount Home Shopper’s Club’s Wikipedia entry, which states;
In 2018 the Clubshop brand was acquired by Proprofit Worldwide Ltd.
Proprofit is a marketing company founded in 2013 by Fabrizio Perotti and Giuseppe Francavilla, the Clubshop Executive Directors who successfully developed the DHS-Club and Clubshop brands in Italy from 2001 to 2012.
Prior to purchasing ClubShop Perotti was promoting Ad2Prosper, an adcredit pyramid scheme.
A February 2019 ClubShop blog post mentions a ‘new Clubshop platform only a few days ago’. This is presumed to be the current ClubShop MLM opportunity iteration.
To summarize; ClubShop is run by former affiliates Fabrizio Perotti and Giuseppe Francavilla (right).
Perotti is from Italy but now resides in Portugal. Francavilla still resides in Italy.
ProProfit Worldwide is a UK shell company and, unless I’m missing something, ClubShop currently has no ties to the US.

CubeBit securities fraud warning issued in the Philippines
CubeBit has received a securities fraud warning from the Philippines SEC.
As per the SEC’s December 10th warning, CubeBit is ‘soliciting investments in the Philippines WITHOUT THE NECESSARY LICENSE AND/OR AUTHORITY from the Commission.’
The public is again warned of such possible “Ponzi Scheme” offering high-yielding investments online.
This is the equivalent of a securities fraud warning in other jurisdictions. [Continue reading…]
Cryptolon Review: Crypto mining daily returns Ponzi
Cryptolon provides no information on its website about who owns or runs the company.
Cryptolon’s website domain (“cryptolon.co”) was privately registered on September 24th, 2020.
In an attempt to appear legitimate, Cryptolon provides several “certificates” on its website.
As far as I can tell, all the provided certificates have nothing to do with Cryptolon.
- The MTR certificate is backdated February 2018 and is for “Crylon LTD”. This is thirty-one months prior to Cryptolon registering its website and is a suspected forgery.
- The European Trademark is also backdated February 2018 and is again for Crylon LTD.
- The UK certificate should be dismissed outright as meaningless, but for the record is for Crylon LTD and dated Feb 2018.
- The FinCEN certificate is dated February 2019 and is for ExFinance OU.
Cryptolon does mention Crylon on its website as Crylon Holdings Limited. As far as I can tell they just picked a similar sounding company that had some registrations and appropriated them.
Cryptolon, as represented on the company’s website today, didn’t exist in any capacity prior to September 2020.
A Google search for the company name returns nothing related for “Cryptolon” until the website launch in September 2020
Cryptolon has attempted to backdate some pages on its website to 2019 but they didn’t exist until 2020.

Control CTCoin Review: Control Traders prolongs exit-scam
Last December BehindMLM noted Traders’ shitcoin exit-scam.
Switching from weekly returns offered since it launched in September, Control Traders began paying out in CTCoin.
CTCoin is your typical Ponzi shitcoin. Control Traders created it out of thin air and it’s worth nothing outside of the company’s own business operations.
In our December 3rd Control Traders review update, we noted the company had disabled CTCoin withdrawals for about a month.
What we didn’t note was the launch of Control CTCoin, a stand-alone opportunity run alongside what’s left of Control Traders.

Financial Education Services has been fined $1 million dollars by the US state of Georgia.

MBI’s Teddy Teow wanted for $83 million Macau scam
Malaysian authorities arrested MBI International founder Teddy Teow in June 2017.
He was arrested again by Malaysian authorities in May 2018.
Despite facing charges leading to at least five years in prison… Teow was released on bail and, you guessed it, promptly fled to Macau.
