The Happy Co. has collapsed amid claims promoters have not been paid for months.

On or around March 21st, The Happy Co. sent out a Brand Partners “important update”;

From the update;

Effective immediately, we are suspending all Brand Partner activities and will no longer be supporting this function of the business as we evaluate our overall business strategy.

We will not be paying commissions on any future orders …

The Happy Co.’s MLM collapse is understood to have been announced abruptly, albeit following months of payment issues.

Over the past few days multiple The Happy Co. promoters have claimed they haven’t been paid in “the past several months”.

Coinciding with its “important update” email, The Happy Co. ditched its MLM website for a standard retail offering. The “about us” section of the website fails to provide ownership or executive details.

The Happy Co. launched in 2021 as a reboot of Elepreneurs, itself a reboot of Elevacity.

Back in 2021 The Happy Co. was headed up by CEO Bo Short.

The Happy Co.’s “important update” email is signed off on by CEO John “JT” Thatch (right), CEO and Vice Chairman of the Board of Directors at parent company Sharing Services Inc.

SEC filings reveal Thatch left HWH International as CEO in October 2025.

On October 3, 2025, John “JT” Thatch resigned from the position of Chief Executive Officer of HWH International Inc. (the “Company”).

Mr. Thatch’s resignation was not based on any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

HWH International is an MLM company that sells “Hapi” branded products across Asia.

HWH International is headed up by Chairman Chan Heng Fai.

Fai replaced Thatch as HWH International’s CEO.

Fai also tied to Sharing Services Inc. A Sharing Services Inc. 8-K filed with the SEC on July 11th, 2025, reveals Fai resigned as Executive Chairman and a member of Sharing Services’ Board of Directors.

After resigning, Fai increased his dominant shares ownership stake in Sharing Services Inc. between October 2025 and January 2026.

Thatch is not active on social media and, to the best of my knowledge, has not publicly addressed The Happy Co.’s collapse.
