TelexFree file for bankruptcy in the US
It wasn’t even a week ago that I wrote about the maths behind TelexFree’s 2013 profit and loss statement not adding up.
Using conservative figures, I estimated that by the close of 2014 TelexFree would be liable for around $1.14 billion dollars. With the company taking in $689 million in 2013 (what would probably be their biggest year investment wise), it was obvious that the company was going to collapse.
Even if we ignore every commission except AdCentral ROIs, and attribute TelexFree’s entire commission payouts ($622 million) to AdCentral ROIs, that still leaves a deficit liability of $518 million going into 2014. And remember, we’ve totally discounted any other commission payouts.
The latest round of problems for TelexFree investors began a few days ago when their payouts were delayed. Typically paid on the Friday, affiliates were still left wondering where their money was come Sunday.
Unofficially this was apparently due to issues with their payment processor, however the real reason finally surfaced a few hours ago.
TelexFree is bankrupt.
On April 13, 2014 at 8:11 pm a special meeting of the Board of Directors (the “Board”) of Telexfree, Inc. (the “Corporation”) was held telephonically.
All of the parties present were able to be heard. All the directors of the Corporation, James Merrill and Carlos Wanzeler, were present. Also present were:
(1) from Greenberg Traurig LLP Nancy Mitchell, Jody Davis, Maria DiConza, Jonathan Bell, Matt Hinker, Avi Fox, Zack Polidoro, and Michael Cohen;
(2) from Gordon Silver Greg Garman and Teresa Pilatowicz;
(3) from Alvarez & Marsal Lawrence Hirsh, Bill Runge, Tim Meighan, and Aileen Daversa;
(4) from Joe H. Craft, CPA Joe H. Craft; and
(5) from Impact This Day, Inc. Stuart A. MacMillan.
The meeting was called to order by Carlos Wanzeler, President and a director, and on the agenda was the approval of the filing of a voluntary petition for relief under the provisions of Chapter 11 of the Bankruptcy Code, 11 U.S.C. §§ 101, et seq. (the “Bankruptcy Code”).
Upon motion duly made and seconded, the Board unanimously approved the following resolutions:
RESOLVED, that in the judgment of the Board of the Corporation, it is desirable and in the best interests of the Corporation, its creditors and other parties in interest, that the Corporation file or cause to be filed a voluntary petition for relief, along with certain affiliated entities, under the provisions of Chapter 11 of the Bankruptcy Code (“Chapter 11”) in the United States Bankruptcy Court for the District of Nevada.
Filed on the 13th of April 2014, TelexFree’s Chapter 11 bankruptcy application is for TelexFree Inc., TelexFree LLC and TelexFree Financial Inc.
Checked on the application is an estimation of between $0-$50,000 owed in liabilities, which I can only describe as a gross underestimation. Especially considering a list is included with the application detailing TelexFree’s “creditors holding the 30 largest unsecured claims”.
Listed as “trade debts”, I believe these creditors are TelexFree’s top investor affiliates. I’ve reproduced the list of the creditors (including the amounts owed) below:

Looking forward, no doubt the burning question TelexFree affiliate investors are now asking themselves is “will we get paid?”
After already lying to their affiliates by telling them existing AdCentral ROIs would be paid out to the end of their 52 week maturity period, this latest slap in the face is probably going to have many of them pushing their panic buttons.
Why?
TelexFree don’t have the money they said they’d pay them with.
Laid out in an “Emergency motion” filed on the 13th of April, TelexFree is pegging their hopes on TelexApp, the TelexFree99 VOIP service and “other new products”;
TelexFree is operated as a multi-level marketing company, and currently has over 700,000 associates or promoters (the “Promoters”) worldwide.
Prior to the filing of these Chapter 11 Cases, TelexFree compensated Promoters for the sales of the VoIP product, the placing of advertisements and the recruitment of other Promoters down line.
Because questions were raised about its compensation plan, the Company on March 9, 2014, discontinued its original compensation plan (the “Original Comp Plan”) and replaced the Original Comp Plan with a revised compensation plan (the “Revised Comp Plan” and together with the Original Comp Plan, the “Pre-Petition Comp Plans”).
At the time of the roll-out of the Revised Comp Plan, the Company decided to honor certain discretionary payments to Promoters under the Original Comp Plan. These discretionary payments quickly became a substantial drain on the Company’s liquidity.
The Company discontinued the Pre-Petition Comp Plans and ceased making discretionary payments under the Original Comp Plan prior to the Petition Date.
The Company believes the sales of the 99TelexFree product, the TelexFree “app,” and other new products will ultimately prove successful and profitable.
The reason the payments to existing affiliates who had invested became a “substantial drain” was because, after TelexFree changed the rules, nobody was investing any new money with them.
Ponzi ROI liabilities are always going to be a “substantial drain”, but cut off your new affiliate investment revenue and the results are disastrous (as in “can we please have bankruptcy because we have no money” disastrous).
Or as TelexFree puts it:
The trailing liabilities arising from the Original Comp Plan are difficult to quantify and have resulted in substantial asserted liabilities against the Company, a number of which may not be valid.
As a result, the Company filed these Chapter 11 Cases to obtain the breathing room to address its operational and regulatory issues, revise the Pre-Petition Comp Plans, and quantify and address the claims against it.
In a nutshell? As with all Ponzi schemes, things cannot go on as they have because the money just isn’t there.
Now, as I watch my inbox implode with questions from TelexFree affiliates, I’m going to preface my thoughts with the acknowledgement that US bankruptcy law is way above my pay grade.
As I understand the situation, TelexFree have run a Ponzi scheme for a few years, racked up huge sums of unpayable ROI liabilities and now, through bankruptcy, are seeking a “get out of jail free and we don’t have to pay anyone” card.
Not only that, they’re also looking to “legally” get out of the $1.12 billion+ they will owe affiliates by the end of 2014.
The bullshit they’re feeding the US courts to justify all of this?
The Company believes that a restructuring of its debt, adoption of a post-petition revised compensation plan, unveiling of new products (including the TelexFree app), and return to growing its Customer base will allow the Company to realize its full potential and generate significant value for its constituents.
Hardly news to anyone involved or watching TelexFree, is the problem of there being a negligible amount of legitimate customers within the company.
Nobody is buying TelexFree’s products and services other than affiliates, and even then only so that they could qualify for their AdCentral ROIs. Cancel those payments via “compensation plan revisions” and you’ve got nobody at all paying TelexFree for their products and services.
It’s just that simple.
Again, I’ll strongly emphasize the fact that US bankruptcy law and Ponzi schemes is something I haven’t come across in my five years of covering the MLM industry, but honestly how the SEC are going to let this all go through unopposed leaves me speechless.
I suspect the next 24-48 hours are going to one hell of a show to watch (or however long it takes for the SEC or other applicable party to shoot this down). Given the nature of TelexFree (a billion dollar plus Ponzi scheme), I can’t see them getting their application approved.
You don’t get to stash away who knows how many millions of dollars during the course of two years and then shaft everyone by pulling a fast one under the guise of bankruptcy. It’ll be an absolute travesty of a miracle if TelexFree are granted their Chapter 11 proposal.
Meanwhile, for any TelexFree affiliates wondering where their money is – check with those people you see on stage at TelexFree events. Your money has been transferred over to their bank accounts and now Carlos Wanzeler, James Merril and Carlos Costa are trying to legally get you to “suck eggs”.
Or as TelexFree CEO in hiding Stuart Macmillan puts it:

Carlos Costa indirectly was playing the TelexFree AdCentral Ponzi scheme through his wife, to the tune of $1.2 million dollars. Whodathunkit?
Update 13th April 2014 #2 – TelexFree’s initial bankruptcy proposal has been rejected due to “incomplete and/or insufficient filing”.
Thirteen required declarations were absent from the initial filing:
– Summary of schedules
– Real property
– Personal property
– Creditors holding secured claims
– Creditors holding unsecured priority claims
– Creditors holding unsecured nonpriority claims
– Executory contracts and unexpired leases
– Codebtors
– Declaration concerning debtor’s schedule
– Statement of financial affiars (guess why they didn’t include this lol!)
– Statement of compensation
– Tax identification number
– Declaration under penalty of perjury (guess why they didn’t file this either!)
TelexFree have 14 days to file the above (April 28th).
Well, know some car dealerships the staff invested heavily into this. Now may be a good time to buy a car from them (or not) if they are distracted from this.
Watched them stampede to snap up old contracts. Didn’t occur to them to wonder why the money would come from to pay them.
Go figure.

WOW! So Telexfree has this notice when you log on to their Back Office that basically tells you about their bankruptcy. The notice begins with the words “Ops” on top of the page. My Portuguese is weak (ie. nonexistent) but I would translate that as “Oops”. This is like adding insult to injury.
Oops is when you accidentally do something minor not when you swindle hundreds of millions of dollars from people. Unless of course I got the translation of “Ops” wrong.
In the back office, any time you click on important features like Statement or e-wallet, the same notice of bankruptcy appears. My question is why block access to e-wallet? Isn’t that a separate payment processing entity? Several people may have recently transferred money there, which should be out of the clutches of TelexFree and ready for withdrawal right?
Finally, I went to the link to post ads around 9:30 AM Eastern and they were not posting like usual. I took a break to read this blog and then I try to post the ads again at around 10 AM Eastern and was shocked to see the following statement in the ads generator “TelexFREE USA it’s over! Leia mais sobre.”

No judgements on who invested, please and why, It’s a very mixed lot, very mixed indeed. Clearly you do not know what you’re talking about. Many people invested or worked under this scheme because they were unemployed or on financial debt.
OZ: Telexfree breaks promises by the hour/minute but they “promised” to return the amount invested. It would be only after that amount return that the USD would be converted in to TF credits, i.e. = nil.
That didn’t change anything? Payouts to the back office will always be “numbers on a screen”. It wasn’t “real $$$” BEFORE the change either.
Net losers (not too many of them) should potentially report “suspected fraudulent bankruptcy”.

Maybe not. The whole idea of a Chapter 11 is to reorganize the business, not step in shut it down and freeze the assets, although I think that’s probably where this ends up eventually anyway. We are not at that point yet.
Presumably, in spite of the best efforts of the new “interim manager” the Bankruptcy Trustee and Court (with the input of the SEC) will understand that this company is no candidate for rehabilitation and a motion will be made for Chapter 7 Liquidation.
How fast that happens really depends on the SEC or other govt agency Somebody has to allege, and perhaps even prove that the company was a Ponzi, otherwise Telexfree can operate under 11 indefinitely.
I suspect anyone filing for credit losses will be ignored. Functionally there might be no difference between monopoly money and TelexCredits, but “waah where’s my eleventy billion TelexCredits?” looks pretty silly on a claim.
No judgement because company can change payout anytime they want. You invested in company, company goes bankrupt you lose your investment.
Once the bankruptcy is approved you can file a claim along with the 1 million other investors. Then the court and Telexfree will decide how much they can pay.
My guess their is no money and if you are from a different country it will be harder to collect any money that may be left.
Probably will need lawyer and wait a couple of years for any money that may be left.
Usually bankruptcy like this may pay 10 cents on the dollar if they have money.

Chapter 11 is normally a good faith effort to reorganize and move the business forward without having the current debt hindering the efforts.
In this case this is not a viable business model and assets are probably minimal.
The reason they would freeze assets is to make sure any money that is left does not disappear into the telexfree blackhole.

It looks like this may be a potentially expensive and complicated one to administrate. The assets of a US company are frozen in Brazil pending trial etc etc. Somehow I doubt Brazxil is going to relish releasing many millions of its citizen’s money to a bankruptcy proceeding in Las Vegas, USA.

Many thanks! I will be reading the info. carefully and possibly get back to it here later. If I had the time I would go through international commercial law to check the chances of filing a lawsuit.
Surely if people got together they would be able to claim for credits and damages. And yes I am aware that if a firm goes bust you’ll lose your investments but at lest I want to make sure some of these “leaders” that were already aware of was going on (and they were, because if I was for the last 2 and a half months so were they) and still continued to persuade people to invest large sums of money will be properly disreputed.
I understand the reason, but someone has to motion and show cause why a freeze is appropriate. Nobody has done that. I expect that the SEC or another govt aganecy will eventually do so, but for now all we have is Telexfree’s initial filing and they have most certainly have not asked for a freeze.

Generally the estate reserves causes of action to itself. You will never get a shot at the perps, or if by some chance you do, you will just be acting as a collection agent for the estate.
You will probably have to wait a few years to find out. My scientific wild guess is that you might get back 10-20% of your investment returned.

Not necessarily. The attorneys may have filed this ASAP for a reason. Greenberg Traurig and Gordon & Silver are old hands at this… both very big and active firms in bankruptcy practice on the West Coast and in Las Vegas.
My guess is that the reason is to establish a record and hope that the imposition of an automatic stay relates back to the date of initial filing. Just a guess. These firms are not inept.

Oz, the names aren’t matching up because Brazilians use the Portuguese surname method: use surnames of both parents. Those names should contain some very familiar people such as Renato Rodrigues, who I’m pretty sure you have there under a different surname.

These are real people that can be found as top promoters on facebook.
I know how Portuguese people think. This will not end with just a few words. It will get ugly for these promoters. Logic does not apply when you are angry because you trusted someones advice and lost all.
I am a telexfree promotor, never really cared to recruit anyone because I was skeptical from the beginning.
Everything they did from when I started till now has been the worst experience I’ve ever had with any company in my entire life. I put a little over $7000 into this garbage and luckily I got my money back and a few hundred dollars but after taxes I still lose a bit. This was not worth all that stress, headache and wasted time posting “ADS”.
now going into any investment if thats what some might call it, you weigh in on the risks. Going in I knew there was a chance they could be shut down but this is life and you take chances .Never invest money that will hurt you financially if you lose it, the the biggest No No is borrowing money for investments, which is what some people did.

You are miles and miles from this happening. There may never be a plan of reorganization if the court is convinced the company should be liquidated for the benefit of the creditors. IF there is a Proposed Plan, voting is open for several months, and then Confirmation may take place (or not)

This is exactly the same strategy and the same “modus operandi” of the bankruptcy protection process they tried to file 3 times in Brazil and the justice simply denied it.

The forum realscam.com can potentially be used for that purpose, to organize the material to include in a report. It’s easier to organize it in a forum thread than in a blog. Suggested title: “Telexfree fraudulent bankruptcy”.
WHY FILE A REPORT LIKE THAT?
It only makes sense if you’re a net loser, and if you haven’t been directly involved in any fraudulent activity yourself. Telexfree have had many “fraudulent” options, but they’re only fraudulent if they have been used in that way.
It doesn’t make any sense if you’re a “true believer”, e.g. if you believe the problems only are temporary and will be resolved.
Telexfree seems to want a “controlled shutdown”. The right type of report can give them exactly that, but controlled by others than themselves.

I think most affiliates don’t understand what this really means for them.
1) This makes absolutely sure that you have NO LEGAL RECOURSE to force them to honor the old comp plan. NONE.
2) This will likely also make all the money you previously put into the company DISAPPEAR. The top X creditors may get paid something, but the rest of you “small fish” are out of luck.
3) This is ESPECIALLY TRUE for any one not in the US (Brazil, madeira, etc.) Who are you going to call? You’re not going to file a lawsuit or complaint in the US, are you?
Maybe you should… Pool together and pay one attorney in the US, and have him file a formal bankruptcy court complaint against TelexFree claiming this is a fraudulent bankruptcy. I think M_Norway explained how earlier.

One of the functions of Federal Court of which BK courts are part is that they can adjudicate foreign claims. There is no reason to believe a person from Brazil can not file a proof of claim in US Federal (Bankruptcy) Court just like someone who lives in the US.
You won’t need any attorney for the method I suggested. I will usually first look for methods people can use directly without professional assistance.

BANKRUPTCY FRAUD CAN be reported and includes things like concealment of assets, falsification of records, false social security numbers, names, amounts, etc etc. of which these readers have no proof nor any way of knowing anything about at this point. You are suggesting people report bankruptcy fraud. There is no evidence of that. No schedules have been filed, no false testimony given, no documents falsified….nothing.
A foreign national can file a proof of claim in US Bankruptcy Court and if it is approved may receive distributions from the estate just like any other creditor. It need cost no more than a stamp to do this. Practically speaking this is all that can or needs to be done.

What does the preliminary list of creditors have to do with anything. Nobody conceals potential creditors! The whole point of bankruptcy is to list them all so that their claims are dealt with and forever extinguished. Did you think that this short list is supposed to be all of them?????? and that Telex free was “hiding” others to whom it owed money? There will be thousands more creditors once proofs of claims are filed.

Withdrawals from third party e-Wallets will work until they run out of money. Last week may be exactly that, “the last week it worked”.
Back office –> e-Wallet have reportedly stopped working for SOME people in the last few days (or earlier). You can’t expect it to work.

As I suspected the journalists censored the bad news because I believe many of them were affiliates and had hoped to get their investment back so any bad news from telexfree would directly affect their pockets.

He says that one of the reasons Telexfree USA is not going so well is because of the money frozen in Brazil. He blames Acre’s justice on TF needing to file for bankruptcy in the US.
He also states that, in the US, “a country with severe laws” according to him, TF bankruptcy was granted, but the same could not be achieved in Brazil (and he says that in an attempt to diminish Brazilian laws and judiciary). He forgot to check again for the update on the bankruptcy documentation not being accepted…

This was my thought exactly. The CEO of a company can be held accountable for the actions the company takes. Reading some of his comments on how Telex intends to continue great service to their customers ( helloooo? what customers? ) leads me to beleive he’s drank the koolaid for a very grand price.

Besides the possibility of filing a “fraudulent bankruptcy” lawsuit I suggest people gather information on fraud and aggravated fraud (or what in Portuguese is denominated “BURLA”).
TelexF engaged indeed in fraudulent practices against the promoters I know this for a fact. It’s the case of several promoters accounts that were blocked in the past few moths to prevent withdrawal of funds (with ludicrous excuses)and the ongoing enticement of new investors and investments from promoters at a time when, surely, the company already new where it was heading to: bankruptcy.
People from Madeira, Portugal (at least one of them on the claimers list) were heavily engaged in capturing more investments up to today. And re they also claiming credits for their downlines???? Yeah right!
I know personally number 17 on that list. He is not related to the Costa gang. He already had money and decided to “invest” because he wanted to have more.

However, there are 2 info messages in the e-Wallet, one saying that it will take a bit more time than usual for the transaction to take place and the other that they are moving all the TelexFree accounts into another payment processor!

The purpose of that idea is to prevent Telexfree from filing a bankruptcy controlled by themselves, and try to get a different type of emergency shutdown, e.g. similar to the shutdown of Zeek Rewards in some parts (appointment of a Receiver, clawbacks, etc.).

i have spoken with lawyer Meyer Wilson from columbus Ohio who helps victims of ponzi scheme for years and he was very upfront with me that it will be difficult to recover any loss since it is under chapter 11 and that may never be any funds under the CEO and president names, if they have no money no one can force tham to pay you.
Its not ethical to continue taking investments, selling airline tickets etc. knowing that bankruptcy is imminent but it is not illegal. However transferring funds out of the company within 90 days (?) of bankruptcy can be questioned as to legitimacy and if so determined, are recoverable by the estate.
Chronicling what you view as fraud may satisfy an emotional need but not much else…unfortunately. If there is just cause the bankruptcy Trustee will pursue action against insiders on behalf of ALL harmed parties. All you need to do is sit, watch, and wait. Action within a person’s own country against individual promoters is a different matter. Very few will avail themselves of such remedies as the emotions tend to cool after a few months.

But you can play games… those “big” creditors will get some special dispensation, raising them above the typical participant. Maybe they are “top promoters” or “leaders” or whatever.
But how many of them are actually cognizant of this fact? They’re already in denial “US would never let a Ponzi scheme operate”.
I don’t think so. They are the same class of creditor as the man who has $100 at stake. It would hardly be equitable to permit “special” treatment. The law does not provide for it, and moreover, expressly prohibits it.
The first months of this BK will be used in identifying as many of the potential creditors as possible and then notifying them of the action and their rights. Its in Telexfree’s interest to provide a list of all all potential creditors so that any debt owed them can be discharged by the court.
Those who have not been noticed may have cause of action in the future. So as difficult as it may seem, that is what is going to happen. They will attempt to mail every single creditor at least once and maybe more than once and advertise via website etc just as Bell has done.
In other words they will do all that is reasonably possible to make sure any potential creditor is notified. The mailing and printing costs in a bankruptcy can be truly astronomical.

Well they are certainly equity holders in the LLCs and could be taking loans or draws against their equity, but if they are employees (which they could also be) then they are not in the same creditor class as the affiliates so the equal treatment rule would remain intact.
Nothing is “GUARANTEED” at the moment.
This but the first step in what promises to be a long drawn out process.
No one knows how long the process could take, except for those inside Telexfree or how much, if any, money is left or where it is located. So, it’s impossible to make any predictions with any degree of accuracy.
My “guess” would be that the new money supply began to dry up with the first official action/s in Brazil, the US version of Telexfree never quite got off the ground and new members / money slowed dramatically with each subsequent cease and desist order or official warning.
I could be entirely wrong, but, between the fact Telexfree has been shifting and/or burying money constantly and the fact the source of new money has been drying up, I will be very surprised if there is much money left to return to members.

I think the specific number of 30 was something to do with Chapter 11 bankruptcy protocol.

No such thing as “most urgent creditors” These are the “largest” The Federal Bankruptcy forms (the one’s every attorney uses to file with the Court have blanks in which to list the largest creditors. I think there are twenty-five blanks but an attorney can add an addendum sheet if desired.
Any listing of this nature is pro forma.
It is from this list that the largest creditors are identified so that they can be offered first opportunity to sit on one of the creditor committees (if formed) That’s all.

On the web some of the editors of the newspaper are saying mass has placed charges on telexfree as of this morning. For fraudulent offer and sale of securities.
I expect either a joint motion by the Bankruptcy Trustee and SEC to convert this to a Chapter 7 liquidation, or a series of SEC actions which leads to an early exit from bankruptcy in favor of a less expensive and more streamlined Receivership (also a liquidation)
Its also possible that the SEC steps in right now, objects to the bankruptcy filing and requests a Receivership immediately.
I can hardly hazard a guess at financial outcomes because so much of it depends on who is entitled to collect and administer the funds held in Brazil. My gut tells me it won’t be a bankruptcy court in Las Vegas and if that is the case then any meaningful remuneration for affiliates must come from Brazil, from the dissolution of Ympactus, not from the dissolution or reorganization of Telexfree USA.
Under such circumstances as that, I can not envision how creditors of Telexfree USA have many assets to draw on.

No. I just made that comment because it seems some of the top contributors are related to Costa but in this guy’s situation is not the case. I endlessly warned him as well as my family not to get involved but they didn’t listen to me. They kept telling me I was jealous because they were making all this money, blah, blah, blah. I’m not even bringing this up with them because when Zeek happened they got mad at me and didn’t talk to me for a while. They even kept this “business venture” a secret from me for a while because they thought I was too negative and didn’t want to hear anything I had to say about it.

I invested in this company in June 2013 after my sister told me (and the rest of my family) for months about what a great opportunity it was and how much money her brazilian ex-hubby was making from promoting the company.
I don’t know exactly how much he made but it was definitely over six-figures. I was skeptical and rightly so, my gut told me it was too good to be true. But i bought an AdCentral package, lesson learned. I’m just happy I didn’t get anyone else involved.

It’s called paymony and it deals with mining bitcoins. It’s totally different than TF but what has me worried is that it’s another brazilian based company and the initial investment is $1500, very similar to TF.
This is all just speculation right now and i have a lot of research to do, but if there’s anyone out there that was suckered into TF and is now being pressured into paymony, let me know!

Normally the info will go the other way = us linking to online newspaper stories as sources. Newspapers have more “resources” to throw in when they cover a story (e.g. they have a more established network of connections).
Jordan Maglich runs the blog “Ponzitracker.com”. He will sometimes use info from this site as part of his own stories. He’s the expert author writing for Forbes magazine about the Ponzi shutdowns. He will find much of the background info here simply by reading some headlines. He’s also using patrickpretty.com as a source from time to time.
BTW, it is true that the state of Acre in Brasil in conjuction with the justice department HAS NOT PROVEN Telexfree to be a ponzi scheme, besides they did take all the monay away.
In my view the thiefs here are the ones in power in Brasil. Until all is proven Telexfree is not guilty of anything. They never, before this “liminar” in Brasil, have missed paying anyone what has been promissed.

$600,000 a year to manage a company that has no product, no distribution centers, no brick and morter space to speak of and 7 employees?
